Agency Platform Terms and Conditions

American Racket Sports Association — Agency Platform Effective Date: May 9, 2026

1. Agreement to Terms

By enrolling in and using the ARA Agency Platform ("Geovanna"), operated by the American Racket Sports Association ("ARA," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use this service.

2. Eligibility

To use the ARA Agency Platform, you must:

• Be an active member in good standing of the American Racket Sports Association
• Be 18 years of age or older
• Provide accurate and complete registration information
• Have a valid US mobile phone number capable of receiving SMS messages

3. Description of Service

The ARA Agency Platform is an SMS-based artificial intelligence service that provides racket sports professionals with:

• Vendor referrals and request-for-proposal (RFP) facilitation
• Club management software research and recommendations
• Career intelligence and job opportunity information
• Contract review assistance and guidance
• Industry intelligence and trend information
• Expert referrals and professional network connections

4. SMS/Text Messaging Terms

• Program Description: The ARA Agency Platform text messaging service provides members with answers to racket sports queries, vendor and software comparisons, RFP and referral facilitation, career updates, and industry intelligence.
• Consent: SMS enrollment is optional and is not a condition of ARA Agency Platform membership. Members who voluntarily opt in during registration expressly consent to receive SMS messages from the Geovanna service, including responses to inquiries, vendor match notifications, and service updates.
• Message Frequency: Message frequency varies based on member interaction.
• Message and Data Rates: Message and data rates may apply.
• Help: You can text HELP for assistance, or contact info@americanracketsportsassociation.com.
• Opt-Out: You can text STOP to cancel and opt-out of all future text messages at any time. Opting out will deactivate your access to the platform.
• Privacy: Your SMS opt-in data and personal information — for both the ARA Agency Platform and the Agency Cohort Platform — will not be shared, sold, or rented to third parties or affiliates for marketing or promotional purposes under any circumstances. See our Privacy Policy for full details.

Agency Cohort Platform SMS Program. In addition to the ARA Agency Platform (Geovanna) described above, the ARA separately operates the Agency Cohort Platform, an SMS-based scheduling service for Agency Cohort members that sends weekly session reminders and collects RSVP confirmations by text. Enrollment is limited to invited Agency Cohort members and follows the same consent, opt-out (STOP), help (HELP), and data-handling terms described in these terms. This is a distinct messaging program from the ARA Agency Platform.

5. Member Responsibilities

You agree to:

• Use the service only for lawful, professional purposes related to racket sports facility management
• Provide accurate information when submitting requests
• Not misuse the platform to submit false or fraudulent RFPs
• Not attempt to circumvent, reverse engineer, or otherwise interfere with the platform
• Maintain the confidentiality of any vendor pricing or proprietary information received through the service
• Notify ARA promptly of any unauthorized use of your account

6. Vendor Referrals and RFPs

The ARA facilitates connections between members and vendors but does not guarantee the quality or completeness of vendor responses, that any vendor will respond within a specific timeframe, the pricing or terms offered by any vendor, or the outcome of any business relationship formed through the platform. The ARA is not a party to any agreement between members and vendors.

7. Vendor Conduct Standards

Vendors participating in the ARA Agency Platform agree to respond to RFPs within established timeframes. The ARA reserves the right to remove vendors for non-responsiveness or conduct that does not meet ARA standards.

8. Intellectual Property

All content, data, recommendations, and intelligence delivered through the Geovanna platform is the property of the ARA. Members may use this information for personal professional purposes but may not reproduce, distribute, or commercialize it without written permission.

9. Disclaimer of Warranties

THE ARA AGENCY PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE ARA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. ALL RECOMMENDATIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL LEGAL, FINANCIAL, OR BUSINESS ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. THE ARA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF MEMBERSHIP FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless the ARA, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or your interactions with vendors facilitated through the service.

12. Privacy

Your use of the platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

The ARA reserves the right to suspend or terminate access at any time for violation of these Terms, lapse of ARA membership, or conduct deemed harmful to the ARA community. You may terminate at any time by replying STOP.

14. Modifications to Terms

The ARA reserves the right to modify these Terms at any time. Material changes will be communicated via SMS or email. Continued use constitutes acceptance.

15. Governing Law

These Terms shall be governed by the laws of the United States and the State of Georgia, where the ARA is incorporated.
